Start Making Money


Everything just changed in the angel investing world.


Two years ago Yuri Milner, through his investment firm DST, disrupted the traditional Silicon Valley venture capital model when he began investing in the hottest startups – companies like Facebook, Zynga and Groupon – at very high valuations and extremely easy deal terms. He looks brilliant in hindsight, with all of his U.S. investments at significantly higher valuations since he invested.


Most top VC firms have begun emulating DST’s deal structure.


Now he’s partnering (as an individual, not as part of DST) with Ron Conway’s angel fund, SV Angel. And they’re making a bold investment move. This evening they’ve just made a blanket investment offer to every Y Combinator startup in the most recent batch. They’re going to invest in all of them. Every single one. And this is the biggest Y Combinator class to date – some 40 new startups.


The new fund is called Start Fund. SV Angel’s David Lee is managing the fund.


They haven’t even seen most of the startups yet. This is a bet on the quality of Y Combinator startups in general.


All of the new Y Combinator entrepreneurs gathered at Y Combinator headquarters in Mountain View California on Friday evening to hear about the offer, They weren’t told why they were supposed to be there, just that something important was happening. The SV Angel team was there in person. Milner joined from Europe by video conference.


The terms? $150,000 in convertible debt. With no cap and no discount. If you’re an investor you know exactly what that means and you just shuddered a little. Those aren’t terms that most angels can match.


If you’re not an investor, here’s what it means. Yuri and SV Angel just offered to loan each company $150,000. That loan will convert if/when the company raises a proper angel or venture capital round at the same valuation that’s set in that round. Most convertible debt has a valuation ceiling and also gets a discount on conversion. This debt doesn’t.


It’s the most entrepreneur friendly investment that I can think of, short of just handing people money as a gift.


Each startup can choose to take the investment or not. If all 40 of the startups accept the loan then a total of $6 million will have been invested. And Milner/SV Angel say they intend to offer this for each Y Combinator startup in the future, too. That means Y Combinator entrepreneurs will not only get the $15k – $20k from Y Combinator during the first few months of their project, but they can look forward to another $150,000 a few months later. That’s usually enough to complete development and launch a product.


This is a huge win for Y Combinator, and cofounder Paul Graham seemed very pleased when we spoke by telephone this morning. He also says it’s a smart investment strategy. If only a couple of the startups have a large liquidity event it’s likely to be a good investment for Milner and SV Angel, he noted. “This is a hits driven business,” he said.


This also spreads incredible goodwill throughout the young entrepreneur community.


This also puts Y Combinator further ahead of competing early stage incubators/investors. Entrepreneurs now know they’ll be offered easy terms on $150,000 in capital just for being part of Y Combinator. That’s an incredible marketing advantage.


This is not such a big win for other angel investors, who are still struggling with business models and rising valuations. They tend to mob Y Combinator startups generally. And now they’ve got to deal with startups that don’t need cash as desperately, and who already have Milner and SV Angel as investors. That’s two more steps behind than they were before.


SV Angel says that this is a separate process from their normal investing. They’ll invest additional sums in some of the Y Combinator startups just as they always have. They’ve already invested in two from this batch so far, says David Lee, and it’s extremely early in the process.



Why The Arguments That The Huffington Post Must Pay Bloggers Is Misguided: Payment Isn't Just Money

We didn't mention the whole AOL buying Huffington Post story earlier this week, because there just didn't seem to be that much to say about it. It was an interesting deal, to be sure, and I'll be curious to watch what AOL does with the property, but, beyond that, it seemed like just another content acquisition deal. However, almost immediately after the deal went through, I started seeing some rumblings on Twitter, picking at the scab that has always annoyed a certain group of people about The Huffington Post: that it doesn't pay most of its writers. Sure enough, it didn't take long for this issue to start to spread, with the inevitable summary line of: "Hey, HuffPo became famous because all these people worked for free, and yet, they don't get a cut of the sale."



That story is now snowballing. Dan Gilmor wrote a blog post arguing that it was the "ethical" thing to do to start paying bloggers. Douglas Ruskoff said that he'd no longer blog on the site for free. And, of course, a bunch of cranky HuffPo contributors have created a whole campaign arguing that Arianna Huffington had no right to sell the site, since it was built off of their free labor.



They're all wrong.



Of course, we've been through this before. Five years ago, Nick Carr tried to argue that all the various big Web 2.0 sites like (at the time) Digg, YouTube and MySpace were really digital sharecroppers exploiting labor. As we argued at the time, this was hogwash. People were using those sites because they provided a valuable service. The reason they provided labor was because they got something of value in return -- whether it was attention or hosting or distribution or reputation.



Three years ago, we saw an almost identical controversy after AOL bought Bebo and musician Billy Bragg demanded some of the $850 million AOL paid (in retrospect, a massively bad decision). Bragg argued that Bebo made this money based on all of the "free labor" of musicians who used the site. But that ignored the fact that those musicians got tremendous value in using the Bebo platform to connect with fans and distribute their music... all for free. The folks who got to keep the money were the ones who took the actual risk. The ones who had to cover the expenses to keep the site and the service running, even when it wasn't making enough revenue. They took the risk, they should get the reward. The people who used the site did so of their own free will knowing quite well that the benefit they got from using the service was worth it to them at the time. Along those lines, if Bebo had struggled and faced bankruptcy instead of a massive buyout, would Bragg have felt obligated to give them money to keep it going? Similarly, if HuffPo had been running out of money, and Arianna had gone back and demanded that those who used the platform pay up retroactively, how would these people have reacted?



There are more ways to "get paid" than with money.



The reason that people chose to blog for free at the Huffington Post was because it's a fantastic platform for exposure. It brings traffic like no one else out there, and if you want to present something in a way that's likely to get more attention than on your own blog that no one visits, posting at HuffPo can be quite a good way to go.



And that's the point: the people who chose -- of their own free will -- to post at the Huffington Post for free did so because they clearly got value out of doing so. Otherwise, why would they have done so in the first place? To then say that the only proper thing is to pay them is completely missing the point. It's an attempt to retroactively go back and change the terms of a deal. If you wanted to get paid directly for what you write, fine, don't write for the Huffington Post. It's that simple. Go out and pitch your stories to publishers who pay freelancers. But don't go back and complain afterwards when the folks who actually did take the risk of putting together the site, financing it, organizing it, hiring the staff, buying the servers, paying for the bandwidth, and building it up so that it was such a successful platform, then get paid for their efforts.

Making Money Secrets

A reader asks: My business is in an industry where sales people and software engineers are often recruited by competitors.  How can I protect my company from being raided?


Answer: Employers use what are called restrictive covenants to protect trade secrets and prevent employees from unfairly stealing clients and/or information.  Courts heavily scrutinize these covenants so it is imperative to have a seasoned attorney assist you with writing one that will be enforceable under the laws of the state where your company is located. (Just missing a few words can create tremendous grief for an employer.)


There are a variety of these available, but let’s look at the most common:


Non-disclosure agreeements: Non-disclosure agreements (“NDAs”) are one of the most effective and commonly used solutions to this problem.  An NDA protects information that is a trade secret – data that has economic value (actual or potential) due to its exclusivity and is something you’re making efforts to keep secret.


Taking trade secrets without the owner’s consent is called misappropriation and if an employee misappropriates a trade secret, a company has the right to recover:



  • Actual damages it suffers from the theft

  • Repayment of the money made by the employee (or his new employer) as a result of the trade secret theft

  • Injunctions requiring the return of the stolen property

  • Attorney’s fees


To ensure the full protection of an NDA, you’ll need to require the employee to sign a confidentiality agreement when they come on board that defines the scope of information your company is trying to protect.  This can be anything from a company’s secret sauce to pricing, lists and business processes.


Additionally, the NDA should contain a proprietary inventions assignment agreement (PIAA), which ensures that all work products created by the employee belong to the company and not to the employee – and the employee has no right to take them when he or she leaves the company.  This can include everything from software programs to customer lists to website designs to pricing.


Covenants not to compete – Better known as non-compete agreements, the enforceability of these varies dramatically from state to state.  In the states in which they are enforceable, like New York or Massachusetts, they can be very powerful tools.  In other states, like California, they are generally prohibited.


California specifically has a statute stating that restrictive covenants not to compete are presumed invalid unless specific circumstances apply.  For example, if the owner of a company sells their business, a non-compete may be enforceable against him or her in California.


For the states where these are enforceable, there are still some restrictions based on the duration of the agreement, geographical location and the breadth of activity prohibited.


Additionally, in many cases it doesn’t matter where the agreement was entered into or what the laws are there. If the employee moves to another state, either during or after employment, things can become muddled. So, it’s best to use non-competes with great caution. They may not be as effective as you initially think.


Non-solicitation – There are basically two kinds of non-solicitation agreements – non solicitation of employees and non-solicitation of clients.


Non-solicitation of employees is generally enforceable in most states, but a non-solicitation of clients may be considered an unfair restraint on trade.  The exception in those situations is if the non-solicitation agreement is necessary to protect trade secrets.


Non-solicitation agreements are generally less onerous then covenants not to compete and typically more enforceable.

Are you willing to put your brand on the line? A new Maryland designation allows some socially conscious small businesses to do just that. The state’s new “benefit” corporation status lets businesses put their commitment to fair trade, eco-friendly or other specialized goods and products into their charter. Transparency is the new standard. This law firm is blazing the way in a way that we see across the spectrum in terms of the behavior expected of small businesses and, indeed, all businesses today. Explain the basis of your billing, don’t keep secrets from your clients or try to keep them in the dark. Healthcare battle begins in the U.S. Senate. Opponents of a healthare package seen as unfriendly to small business vow to push for repeal of the legislature in the U.S. Senate following a successful effort in the U.S. House. Attempts to repeal the law in the Senate will be more difficult due to support from the majority support there. A recent survey indicated most small business owners oppose the law which might force many businesses to either offer health benefits or pay a penalty. The Washington Post


Feds change course on anti-business regs. Two regulations pushed by U.S. federal agencies but opposed by business group seem no longer to be on course for implementation perhaps thanks to a change in administration policy. The regs proposed would have required elimination of noise in manufacturing environments and required more testing for medical devices. Your thoughts? WSJ

Tax favoring small business may break EU law. You might think regulations benefiting small business would be viewed as a good thing by everyone. But it turns out a so-called “supertax” on big retailers in Scotland may break EU law. And a large retailer effected by the tax may take it to court. Making money with a newspaper clipping service may seem to be a strange way to make extra money, but it can and is being done, and starting your own clipping service to make that extra money is easier than you think.

All it takes is a few hours a day, a few supplies, a little patience and you're in business. To help you start this business, I'm going to give you a few tips on where to begin, and the list of supplies you will need. The hours and patients will have to come from you.

Newspaper clipping is nothing new. It's been around for years now, but as long as the newspapers and magazines continue to report news and information on businesses, organizations and individuals , there will be a need to provide this service.

Some people do this as a full-time job, but how far you take this will depend solely on you. Making extra money doing this part-time is easy, but making a full-time income from a clipping service will take a lot of time and effort.

I've listed step by step instructions on the supplies you will need, the type of news clippings to look for, and how to look for buyers.

What Type Of Articles To Look For

The news clippings you want to focus on are the ones that have any exciting or unusual news about businesses, organizations and individuals. The news could be about awards received or given, notable achievements, acts of heroism, contracts received, good deeds done in the community, advertising, promotion of product lines from competitors, birth announcements, wedding and engagement announcements and even deaths.

You can also check out articles about sports figures, locally and nationally. Any news clipping you can find on a popular sports figure would be of interest to him or her. They also have a desire to know what the newspapers and magazines are saying about them.

Well, they all have an interest in knowing what is being printed about them. The businesses and organizations are particularly interested in their "public image," and so do the sports figures, so any articles featuring the items mentioned above are candidates for clipping.

Don't forget articles about retail stores, whose competitors are interested in what they are promoting, selling or where they are building expansions. Individuals who are having babies, getting married or getting divorced are also good candidates, and unfortunately, the same goes for deaths.

Supplies You Will Need For Your Newspaper Clipping Service

• Scissors
• Clear Plastic Sheets (To hold your articles)
• Filing Box (Large enough to hold your articles)
• Envelopes
• Book of Stamps
• Printer Paper
• Laminating Machine (Optional)
• Laminating Pouches (Optional)
• Lots of Local and National Newspapers and Magazines

How To Contact Companies And Individuals About News Clippings

When you have compiled quite a few clippings and have them all organized in your filing box, now is the time to start making money with your newspaper clipping service.

For any local companies and organizations, you can find their addresses in the local directory or on line. Individual addresses for anyone getting married, divorced, having babies or deaths can be found on line, at your local court house, listed under public records. If you want to contact a company on a national level, you should be able to find them on line.

All you have to do is write them a letter (envelopes, stamps, printer paper), and explain that you have news clippings about their company, or wedding, or what ever the occasion might be, and ask them if they are interested in purchasing them. Let them know how many clippings you have, and what each clipping is about.

If you want to, you can even send them a copy of one of the clippings. This way they get to see what they will be receiving. This is also why I suggested a laminating machine. Instead of sending them a copy of the clipping inside one of the clear plastic page holders, you can laminate the copy and make it look more professional. The same would go for any wedding announcements and obituaries.

When you send your letter, also quote the price you are asking for each article. If you have different size articles, charge according to size... with the larger clippings costing more. I'll leave the pricing to you.

But I will tell you that when my mother died, I received a beautiful laminated obituary of her death, that had been copied onto a sheet of pink printer paper the size of your remote control, and decorated with a picture of a cross and lilies at the top. This person was asking $5 dollars for each, and I ordered five.

What Not To Do In Your Newspaper Clipping Service

Be very careful about the news clippings you clip from newspapers and magazines, especially magazines. You don't want to clip anything that is copyrighted, and a lot of the magazine articles are copyrighted. However, you can still find some that aren't, so don't despair.

The same goes for newspapers. Don't clip anything with UP/AP or other codes (United Press or Associated Press). Also be aware that all syndicated features and cartoons are copyrighted. Don't even bother clipping these, because no one will purchase clippings if you have stolen someone's copyright.
